About the Role

We are seeking an experienced and detail-oriented Contracts Manager to join our legal and commercial team. In this pivotal role, you will be responsible for overseeing the entire contract lifecycle — from initial drafting and negotiation through to execution, compliance monitoring, and renewal or termination. You will work closely with internal stakeholders across procurement, finance, legal, and business development teams to ensure that all contractual agreements align with organisational objectives and applicable Indian laws and regulations.

The ideal candidate brings a strong understanding of Indian contract law, including the Indian Contract Act, 1872, along with hands-on experience managing vendor agreements, client contracts, and service-level agreements in a fast-paced corporate environment. You will serve as the primary point of contact for contract-related queries, mitigating commercial and legal risks while enabling smooth business operations.

Key Responsibilities

  • Draft, review, and negotiate a wide range of contracts including vendor agreements, client service agreements, NDAs, MoUs, and procurement contracts in compliance with Indian legal standards.
  • Manage the complete contract lifecycle from initiation and drafting through approval, execution, performance monitoring, and renewal or termination.
  • Identify and flag potential legal, financial, and operational risks within contract terms, proposing appropriate mitigation strategies to senior management.
  • Maintain a centralised and up-to-date contracts repository, ensuring all documents are accurately filed, tracked, and accessible to relevant stakeholders.
  • Collaborate with the legal, finance, and procurement teams to ensure contract terms reflect business requirements and comply with GST, taxation, and regulatory obligations.
  • Lead contract negotiations with vendors, clients, and third-party partners, ensuring favourable terms while preserving long-term business relationships.
  • Monitor contract performance milestones, deliverables, and payment schedules, escalating non-compliance or disputes in a timely manner.
  • Develop and implement standardised contract templates, policies, and best practices to improve efficiency and reduce turnaround time across departments.

Requirements

  • Bachelor's degree in Law (LLB) from a recognised Indian university; LLM or MBA in Contract/Commercial Law is an added advantage.
  • Minimum 5–8 years of experience in contracts management, commercial law, or a related role within a corporate or consulting environment in India.
  • Thorough knowledge of the Indian Contract Act, 1872, Arbitration and Conciliation Act, and relevant commercial legislation applicable to the industry.
  • Proven experience negotiating high-value contracts with domestic and international counterparts, including cross-border agreement considerations.
  • Proficiency in contract management software and MS Office Suite; familiarity with tools such as SAP Ariba or Icertis is preferred.
  • Strong analytical, drafting, and communication skills with the ability to explain complex legal language to non-legal stakeholders clearly.
  • High level of integrity, attention to detail, and the ability to manage multiple priorities under strict deadlines.
