We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team. Based in India, this role is critical to ensuring that all contractual agreements are effectively drafted, reviewed, negotiated, and managed in alignment with company objectives and applicable legal frameworks. The ideal candidate will bring a strong understanding of Indian contract law, commercial acumen, and the ability to collaborate across multiple departments including finance, procurement, legal, and senior leadership. Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, client contracts, non-disclosure agreements, and service-level agreements in compliance with Indian and international legal standards.
- Manage the end-to-end contract lifecycle, from initial request and drafting through execution, renewal, and archiving, ensuring all deadlines and obligations are consistently met.
- Identify and assess contractual risks, providing clear recommendations to senior management and relevant stakeholders to mitigate potential legal or financial exposure.
- Collaborate closely with internal teams such as procurement, finance, sales, and operations to ensure contract terms align with business goals and organizational policies.
- Maintain and continuously improve a centralized contract repository, ensuring all documents are accurately stored, tracked, and easily accessible for audits and reviews.
- Monitor contract performance and compliance, proactively flagging deviations, disputes, or areas requiring renegotiation or amendment.
- Liaise with external legal counsel when required and support dispute resolution processes including mediation, arbitration, or litigation preparation.
- Develop and deliver training programs and guidelines for internal teams to promote best practices in contract management and awareness of key legal obligations.
Requirements
- Bachelor's degree in Law (LLB) from a recognized institution; a Master's degree (LLM) or MBA with a specialization in contract or commercial law is strongly preferred.
- Minimum of 5 to 8 years of progressive experience in contracts management, preferably within sectors such as IT, infrastructure, manufacturing, or professional services in India.
- In-depth knowledge of the Indian Contract Act, 1872, along with familiarity with relevant sector-specific regulations and international commercial law principles.
- Proven ability to negotiate complex, high-value contracts with both domestic and international counterparts, demonstrating strong analytical and problem-solving capabilities.
- Exceptional written and verbal communication skills in English, with the ability to translate complex legal language into clear, actionable business terms.
- Proficiency in contract management software and tools such as Icertis, Agiloft, or similar platforms, along with strong working knowledge of Microsoft Office Suite.
- High level of integrity, professional judgment, and the ability to manage multiple priorities under tight deadlines in a fast-paced environment.
