We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team. Based in India, this role is central to managing the full lifecycle of commercial contracts, ensuring legal compliance, mitigating organizational risk, and supporting strategic business objectives. The ideal candidate will bring a strong foundation in contract law, exceptional negotiation skills, and the ability to collaborate effectively across departments including procurement, finance, legal, and senior leadership. Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, client contracts, non-disclosure agreements, service-level agreements, and partnership contracts in accordance with Indian contract law and company policies.
- Manage the end-to-end contract lifecycle, from initial request and drafting through execution, renewal, amendment, and termination, maintaining accurate records in the contract management system.
- Identify contractual risks and liabilities, recommend appropriate mitigation strategies, and escalate high-risk clauses to senior legal counsel or management as required.
- Collaborate closely with procurement, finance, sales, and business development teams to ensure contractual terms align with operational capabilities and financial objectives.
- Monitor contract performance and compliance, tracking key milestones, deliverables, and renewal deadlines to ensure all obligations are fulfilled by both parties.
- Develop and maintain standardized contract templates, playbooks, and internal guidelines to streamline the contracting process and improve organizational efficiency.
- Liaise with external legal counsel, regulatory bodies, and government authorities when required, ensuring all contracts meet applicable statutory and regulatory requirements under Indian law.
- Provide training and guidance to internal stakeholders on contract management best practices, policies, and procedures to build organizational capability.
Requirements
- Education: Bachelor's degree in Law (LLB) from a recognized university is mandatory; a Master's degree (LLM) or MBA with a legal specialization is highly preferred.
- Experience: Minimum 5–8 years of progressive experience in contracts management, commercial law, or a related legal role within a corporate or consulting environment in India.
- Strong working knowledge of the Indian Contract Act, 1872, and other relevant legislation including the Companies Act, GST regulations, and sector-specific compliance requirements.
- Proven ability to draft and negotiate complex commercial agreements independently, with exceptional attention to detail and sound legal judgment.
- Proficiency in contract management software and tools such as Icertis, Agiloft, or similar platforms, along with strong command of Microsoft Office Suite.
- Excellent communication, interpersonal, and stakeholder management skills with the ability to present legal concepts clearly to non-legal audiences.
- Strong organizational and project management abilities, capable of handling multiple contracts simultaneously while meeting tight deadlines in a fast-paced environment.
