About the Role

We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team. Based in India, this role is central to managing the full lifecycle of contracts across the organization, ensuring all agreements are legally sound, commercially viable, and aligned with company objectives. The ideal candidate will bring a strong understanding of Indian contract law, exceptional negotiation skills, and the ability to collaborate with cross-functional stakeholders including legal, finance, procurement, and senior leadership teams.

Key Responsibilities

  • Draft, review, and negotiate a wide range of contracts including vendor agreements, client contracts, non-disclosure agreements, service-level agreements, and partnership arrangements in compliance with Indian and international legal standards.
  • Manage the end-to-end contract lifecycle, from initial request and drafting through execution, renewal, and termination, maintaining a centralized and up-to-date contracts repository.
  • Identify and assess contractual risks, providing clear recommendations to senior management and ensuring appropriate mitigation strategies are implemented before execution.
  • Collaborate closely with internal departments such as procurement, finance, sales, and operations to ensure contract terms align with business requirements and organizational policies.
  • Monitor contract performance and compliance post-execution, tracking key milestones, renewal deadlines, and obligations to ensure all parties fulfill their contractual commitments.
  • Liaise with external legal counsel and regulatory bodies as required, staying current with changes in Indian contract law, commercial regulations, and industry-specific compliance requirements.
  • Develop and implement standardized contract templates, policies, and procedures to improve efficiency, reduce turnaround time, and minimize legal exposure across the organization.
  • Prepare and present regular reports on contract status, risk assessments, and key performance metrics to senior leadership and relevant stakeholders.

Requirements

  • Education: Bachelor's degree in Law (LLB) is mandatory; a Master's degree (LLM) or MBA with a specialization in contract management or commercial law is highly preferred.
  • Experience: Minimum of 5–8 years of proven experience in contract management, legal operations, or a related commercial role, preferably within a corporate or multinational environment in India.
  • Strong working knowledge of the Indian Contract Act, 1872, and other relevant legislation including the Companies Act, FEMA, and GST regulations as they pertain to commercial agreements.
  • Demonstrated ability to negotiate complex contracts with vendors, clients, and third-party service providers, balancing commercial interests with legal risk management.
  • Proficiency in contract management software and tools, along with advanced skills in Microsoft Office Suite, particularly Word and Excel.
  • Exceptional written and verbal communication skills in English, with the ability to explain complex legal concepts clearly to non-legal stakeholders.
  • High level of integrity, professional judgment, and the ability to manage multiple priorities simultaneously in a fast-paced environment.
