About the Role
We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team in India. In this pivotal role, you will be responsible for overseeing the full lifecycle of contracts across the organization, ensuring that all agreements are legally sound, commercially viable, and aligned with our business objectives. You will work closely with internal stakeholders including legal, finance, procurement, and senior leadership, as well as external partners, vendors, and clients. The ideal candidate brings a strong understanding of Indian contract law, exceptional negotiation skills, and the ability to manage multiple complex agreements simultaneously in a fast-paced environment.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, service contracts, non-disclosure agreements, and partnership agreements in compliance with Indian legal standards.
- Manage the end-to-end contract lifecycle, from initial drafting and negotiation through execution, renewal, and termination, maintaining accurate records in the contract management system.
- Identify and assess contractual risks, recommending appropriate mitigation strategies to protect the organization's interests and minimize legal exposure.
- Collaborate with cross-functional teams including procurement, finance, and business development to ensure contracts reflect agreed commercial terms and organizational requirements.
- Monitor contract performance and compliance, proactively flagging deviations, disputes, or obligations requiring attention from relevant stakeholders.
- Develop and maintain standardized contract templates, playbooks, and internal guidelines to streamline the contracting process and ensure consistency across the organization.
- Liaise with external legal counsel when necessary to address complex contractual matters, disputes, or regulatory compliance requirements.
- Provide training and guidance to internal teams on contract management best practices, policies, and updates to relevant legislation or regulatory frameworks.
Requirements
- Education: Bachelor's degree in Law (LLB) from a recognized university; a postgraduate qualification in law or business administration is preferred.
- Experience: Minimum 5–8 years of proven experience in contracts management, preferably within a corporate legal department, consulting firm, or large-scale enterprise in India.
- Strong working knowledge of the Indian Contract Act, 1872, and other relevant commercial legislation, including GST implications on contracts and regulatory compliance requirements.
- Demonstrated expertise in drafting, interpreting, and negotiating complex commercial agreements with the ability to clearly communicate legal concepts to non-legal stakeholders.
- Proficiency in contract management software and tools, along with strong command of Microsoft Office Suite for documentation and reporting purposes.
- Excellent analytical, organizational, and problem-solving skills with a keen eye for detail and the ability to manage competing priorities under tight deadlines.
- Strong interpersonal and communication skills in English and Hindi, with the ability to build effective relationships across all levels of the organization.
