About the Role
We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team. Based in India, this role is central to managing the full lifecycle of contracts across the organization, ensuring all agreements are legally sound, commercially favorable, and aligned with business objectives. The ideal candidate will bring a strong understanding of Indian contract law, exceptional negotiation skills, and the ability to collaborate effectively with cross-functional teams including legal, finance, procurement, and senior leadership. This is a high-impact position that requires both strategic thinking and meticulous attention to detail.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, client contracts, non-disclosure agreements, service level agreements, and partnership deeds in accordance with Indian and international legal standards.
- Manage the end-to-end contract lifecycle from initiation and drafting through execution, renewal, and termination, ensuring all deadlines and obligations are tracked and met.
- Identify and assess contractual risks, propose appropriate mitigation strategies, and escalate high-risk clauses or non-standard terms to senior legal counsel when required.
- Collaborate closely with procurement, sales, finance, and project management teams to ensure contract terms reflect business requirements and organizational policies.
- Maintain a centralized and up-to-date contract repository, ensuring all executed agreements are properly filed, categorized, and accessible for audit and compliance purposes.
- Monitor contract performance and compliance, proactively flagging potential breaches, disputes, or areas requiring renegotiation to relevant stakeholders.
- Develop and implement standardized contract templates, playbooks, and internal guidelines to improve efficiency and consistency across the contracting process.
- Stay current with changes in Indian contract law, regulatory requirements, and industry best practices to ensure the organization remains fully compliant at all times.
Requirements
- Education: Bachelor's degree in Law (LLB) from a recognized Indian university; LLM or additional qualifications in contract or commercial law are an advantage.
- Experience: Minimum 5–8 years of experience in contracts management, commercial law, or a related legal role within a corporate or consulting environment in India.
- Strong working knowledge of the Indian Contract Act, 1872, and other applicable legislation including the Sale of Goods Act, Arbitration and Conciliation Act, and relevant sector-specific regulations.
- Proven ability to negotiate complex, high-value contracts with confidence while maintaining positive business relationships with internal and external stakeholders.
- Excellent written and verbal communication skills in English, with the ability to translate complex legal language into clear, actionable business guidance.
- Proficiency in contract management software and tools such as SAP Ariba, Ironclad, or similar platforms, along with strong command of Microsoft Office Suite.
- High level of integrity, professional judgment, and the ability to manage multiple priorities simultaneously in a fast-paced, deadline-driven environment.
