We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and operations team. Based in India, this role is critical to managing the full lifecycle of contracts across the organization, ensuring all agreements are legally sound, commercially viable, and aligned with business objectives. The ideal candidate will bring strong analytical skills, a thorough understanding of Indian contract law, and the ability to collaborate effectively with internal stakeholders and external partners. Key Responsibilities
- Draft, review, negotiate, and finalize a wide range of commercial contracts including vendor agreements, service contracts, non-disclosure agreements, and partnership agreements in compliance with applicable Indian laws and regulations.
- Manage the end-to-end contract lifecycle, from initial request and drafting through execution, renewal, and termination, ensuring all deadlines and obligations are tracked and met.
- Identify and assess contractual risks, propose appropriate mitigation strategies, and escalate high-risk clauses or disputes to senior leadership and legal counsel when necessary.
- Collaborate closely with procurement, finance, sales, and operations teams to ensure contracts accurately reflect agreed-upon commercial terms and organizational requirements.
- Maintain a centralized and organized contract repository, ensuring all executed agreements are properly archived, accessible, and subject to periodic review and audit.
- Monitor contract performance and compliance, proactively flagging any deviations, breaches, or areas requiring renegotiation to relevant stakeholders.
- Develop and implement standardized contract templates, playbooks, and best practices to streamline the contracting process and improve overall efficiency across departments.
- Stay current with changes in Indian commercial law, regulatory requirements, and industry standards to ensure all contracts remain compliant and up to date.
Requirements
- Education: Bachelor's degree in Law (LLB) from a recognized institution; LLM or additional certifications in contract management are highly desirable.
- Experience: Minimum of 5–8 years of proven experience in contract management, legal operations, or a related role within a corporate or law firm environment in India.
- Strong working knowledge of the Indian Contract Act, 1872, and other relevant commercial legislation, including GST, FEMA, and sector-specific regulations.
- Excellent negotiation, communication, and interpersonal skills with the ability to engage confidently with senior management, clients, and external legal counsel.
- Proficiency in contract management software and tools, along with strong command of Microsoft Office Suite, particularly Word and Excel.
- Demonstrated ability to manage multiple contracts and priorities simultaneously while maintaining a high level of accuracy and attention to detail under tight deadlines.
- Strong ethical standards, professional integrity, and a commitment to maintaining strict confidentiality in all contractual and business matters.
