About the Role
We are seeking an experienced and detail-oriented Contracts Manager to join our dynamic legal and commercial team based in India. In this pivotal role, you will be responsible for overseeing the full lifecycle of contracts across the organization, ensuring all agreements are legally sound, commercially viable, and aligned with business objectives. You will work closely with internal stakeholders including legal, finance, procurement, and senior leadership to draft, negotiate, and manage a diverse portfolio of contracts. The ideal candidate brings a strong understanding of Indian contract law, exceptional negotiation skills, and a proven ability to manage complex contractual relationships in a fast-paced corporate environment.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, service contracts, non-disclosure agreements, master service agreements, and partnership contracts in compliance with applicable Indian laws and regulations.
- Manage the end-to-end contract lifecycle from initiation and drafting through execution, renewal, and termination, maintaining a centralized and up-to-date contract repository.
- Identify and assess contractual risks, recommending appropriate mitigation strategies to protect the organization's legal and financial interests.
- Collaborate with procurement, finance, and business unit heads to ensure contract terms align with organizational policies, budgets, and strategic goals.
- Monitor contract performance and compliance, proactively addressing any deviations, disputes, or breaches in a timely and professional manner.
- Liaise with external legal counsel and regulatory bodies as required, ensuring all contractual obligations meet statutory and compliance requirements under Indian law.
- Develop and implement standardized contract templates, policies, and best practices to streamline the contracting process across the organization.
- Provide training and guidance to internal teams on contract management processes, obligations, and risk awareness to promote a culture of contractual accountability.
Requirements
- Education: Bachelor's degree in Law (LLB) from a recognized Indian university; a Master's degree (LLM) or MBA with a legal specialization is highly preferred.
- Experience: Minimum of 5 to 8 years of progressive experience in contracts management, commercial law, or a related legal function within a corporate or consulting environment in India.
- Strong working knowledge of the Indian Contract Act, 1872, and other relevant commercial legislation including the Companies Act and GST regulations.
- Demonstrated expertise in drafting and negotiating complex commercial agreements with strong attention to detail and precision in legal language.
- Excellent interpersonal and communication skills with the ability to present complex contractual matters clearly to non-legal stakeholders at all levels of the organization.
- Proficiency in contract management software and Microsoft Office Suite; familiarity with CLM platforms such as Ironclad or Zoho Contracts is an advantage.
- High level of integrity, professional discretion, and the ability to manage multiple priorities independently under tight deadlines.
